Terms of Service
Effective Date: July 26, 2026
Please read these Terms of Service ("Terms") carefully before using Tack ("the App"). Tack is developed and provided by Shanglong Ning, the legal Application Provider. “We,” “us,” and “our” refer to Shanglong Ning. By downloading, installing, or using the App, you agree to be bound by these Terms.
For copies obtained from the Mac App Store, Apple's Standard End User License Agreement governs the app license unless the App Store presents a custom EULA. These Terms supplement that agreement with Tack-specific information and do not limit rights that cannot lawfully be limited.
1. Acceptance of Terms
By accessing or using Tack, you agree to comply with and be bound by these Terms of Service. If you do not agree to these Terms, please do not use the App.
2. Description of Service
Tack is a local-first macOS application for capturing, editing, organizing, and exporting notes. Optional features can use your private iCloud database, Apple Calendar, public link metadata, and an authenticated, loopback-only helper for compatible apps on the same Mac.
3. License
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the App for personal or internal business purposes on Apple-branded devices that you own or control, as permitted by the Apple App Store Terms of Service.
4. Your Content
You retain ownership of content you create within Tack. Content is stored on your Mac and, only if you enable iCloud Sync, in your private CloudKit database. We do not receive or claim rights to that content during normal app operation. Apps you configure through the optional MCP helper may access or change notes while the helper is enabled and may process requested content under their own privacy terms.
You are solely responsible for your content and for maintaining any backups you consider necessary. We recommend periodically exporting important notes using the App's built-in export feature.
5. Acceptable Use
You agree not to:
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of the App
- Modify, adapt, translate, or create derivative works based on the App
- Remove, alter, or obscure any copyright, trademark, or other proprietary notices in the App
- Use the App for any unlawful purpose or in violation of any applicable laws
- Distribute, sublicense, lease, rent, or lend the App to third parties
6. Intellectual Property
The App, including its design, code, graphics, and documentation, is the intellectual property of Shanglong Ning and is protected by copyright and other intellectual property laws. These Terms do not grant you any rights to our trademarks, trade names, or service marks.
7. Updates
We may release updates containing fixes, features, or other changes. The Mac App Store version is updated through the Mac App Store and remains subject to these Terms unless separate terms are provided.
8. Disclaimer of Warranties
The App is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the App will be uninterrupted, error-free, or free of harmful components. You use the App at your own risk.
9. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall Shanglong Ning be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of profits, or loss of goodwill, arising out of or in connection with your use of or inability to use the App.
Our total liability to you for all claims arising out of or relating to these Terms or your use of the App shall not exceed the amount you paid for the App in the twelve (12) months preceding the claim.
10. Data Loss Disclaimer
We are not responsible for data loss resulting from device or iCloud failure, sync conflicts, software malfunction, accidental deletion, operating-system updates, third-party local clients, or other causes. You are responsible for maintaining appropriate exports or backups.
11. Third-Party Terms
Your use of the App is also subject to the Apple App Store Terms of Service. Optional features may also be subject to Apple iCloud and Calendar terms and to the terms of websites or local MCP clients you choose to use. In the event of a conflict, applicable Apple terms prevail to the extent required.
12. Termination
These Terms are effective until terminated. Your rights under these Terms will terminate automatically without notice if you fail to comply with any of their provisions. Upon termination, you must cease all use of the App and destroy all copies in your possession.
13. Governing Law
The governing-law and jurisdiction provisions in the applicable App Store EULA apply. Nothing in these Terms excludes protections or remedies that cannot lawfully be excluded in your country or region.
14. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions remain in full force and effect.
15. Entire Agreement
These Terms, the applicable App Store EULA, and the Privacy Policy form the agreement concerning your use of Tack. If these Terms conflict with the applicable EULA, the EULA controls to the extent of the conflict.
16. Changes to These Terms
We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated effective date. Your continued use of the App after changes are posted constitutes acceptance of the revised Terms.
